These Terms and Conditions of Sale (the “Terms of Sale”) govern the sale of services and solutions offered under the Checkout Flow brand, operated by:

These Terms of Sale apply to orders for Checkout Flow services unless specific terms have been expressly agreed with the customer.


Checkout Flow primarily provides digital and technical services intended for professionals, merchants, e-commerce businesses and companies.



1. PURPOSE


These Terms of Sale define the conditions under which Checkout Flow provides its services to customers.


They set out, in particular, the rules relating to:


- orders;

- prices;

- payments;

- performance of services;

- subscriptions, where applicable;

- obligations of the parties;

- cancellations and refunds;

- third-party services;

- liability.



2. SERVICES PROVIDED


Checkout Flow may provide services including:


- e-commerce and payment integrations;

- Shopify × SumUp integration;

- Shopify development and configuration;

- web and mobile development;

- API integrations;

- automation solutions;

- artificial intelligence-related solutions;

- development and customization of payment flows;

- technical services;

- consulting and support;

- maintenance and support services;

- other digital services presented on our website or agreed with the customer.


The availability, characteristics and exact scope of each service are specified on the website, in the relevant offer, quotation, commercial proposal or other agreement entered into with the customer.



3. SHOPIFY × SUMUP INTEGRATION


Checkout Flow develops, among other services, a solution designed to connect certain Shopify and SumUp functionalities.


Depending on the available features, the merchant may be able to:


- install the integration on their Shopify store;

- connect their own SumUp account;

- authorize the required permissions;

- activate available features;

- provide a payment flow associated with their store;

- enable the technical exchanges required between Shopify, Checkout Flow and SumUp.


Each merchant remains the owner of and responsible for their own Shopify and SumUp accounts.


Shopify and SumUp services are provided by independent third-party companies and remain subject to their own terms, policies, pricing and eligibility requirements.



4. ORDERS


An order may be placed:


- directly through our website;

- by subscribing to a service;

- by accepting a quotation;

- by accepting a commercial proposal;

- or by any other method expressly agreed between Checkout Flow and the customer.


The customer is responsible for the accuracy of the information they provide.


Checkout Flow may request information reasonably necessary to perform the service.



5. QUOTATIONS AND CUSTOM SERVICES


Certain services may require a quotation or commercial proposal before work begins.


Such documentation may specify:


- the scope of the service;

- requested features;

- deliverables;

- price;

- payment terms;

- estimated delivery times;

- any specific conditions.


Once accepted in accordance with the stated procedure, the quotation or commercial proposal supplements these Terms of Sale.


In the event of a conflict, specific terms expressly agreed for the relevant service will prevail.



6. PRICES


Applicable prices are those communicated to the customer at the time of purchase or stated in the relevant quotation or proposal.


Pricing may include:


- a fixed fee;

- a subscription;

- installation fees;

- fees for a specific service;

- maintenance or support fees;

- or a combination of these elements.


Fees charged directly by Shopify, SumUp or other third-party providers are not included in Checkout Flow's prices unless expressly stated otherwise.



7. TAXES


Prices are presented in accordance with the tax treatment applicable to the relevant service and circumstances.


Any legally applicable taxes may be added or handled in accordance with applicable regulations.


Customers are responsible for providing accurate billing information, particularly when acting in a professional or business capacity.



8. PAYMENT


Payment methods and due dates are specified at the time of purchase or in the applicable quotation or commercial proposal.


Depending on the service, Checkout Flow may require:


- full payment at the time of order;

- a deposit;

- payment in several installments;

- recurring payments.


Unless otherwise agreed, commencement of a service may be conditional upon receipt of the required payment or deposit.



9. LATE OR NON-PAYMENT


In the event of late or non-payment, Checkout Flow may, to the extent permitted by applicable law:


- suspend commencement of the service;

- suspend access to the relevant service;

- postpone delivery;

- request payment of outstanding amounts;

- apply any consequences provided for by applicable law or specific contractual terms.


For business-to-business relationships, legally applicable late-payment penalties and compensation may become payable in accordance with applicable law.



10. PERFORMANCE OF SERVICES


Checkout Flow undertakes to use reasonable efforts to perform the agreed services.


Performance may depend on:


- the complexity of the project;

- information provided by the customer;

- required approvals;

- access to the relevant platforms;

- availability of APIs;

- third-party services;

- external verification or authorization procedures.


Any delivery times communicated are estimates unless expressly agreed otherwise in writing.



11. CUSTOMER OBLIGATIONS


The customer agrees to:


- provide accurate information;

- provide the materials and information required to complete the project;

- hold all necessary rights and permissions;

- maintain their third-party accounts in good standing;

- respond to requests necessary for the progress of the project;

- comply with the terms of the platforms used;

- use Checkout Flow services in accordance with applicable law.


A delay by the customer in providing information, access or approval may result in a corresponding delay to the project.



12. SHOPIFY AND SUMUP ACCOUNTS


Where a service involves Shopify or SumUp, the customer is responsible for maintaining the required accounts and complying with the applicable terms of those platforms.


Checkout Flow cannot guarantee:


- the opening of an account;

- merchant account approval;

- continued availability of an account;

- activation of a particular feature by a third-party provider;

- authorization of a transaction;

- the absence of verification or compliance checks by such platforms.


Any decision made by Shopify, SumUp or another provider regarding their own services remains under that provider's control.



13. THIRD-PARTY SERVICES AND FEES


Certain Checkout Flow services require the use of third-party services.


Such services may have their own:


- subscriptions;

- commissions;

- transaction fees;

- usage fees;

- contractual terms.


Unless otherwise stated, these costs remain the customer's responsibility when charged directly by the relevant third-party provider.



14. SUBSCRIPTIONS


Certain Checkout Flow services may be provided on a subscription basis.


Pricing, billing frequency and renewal terms will be disclosed before subscription.


The customer may cancel in accordance with the cancellation procedure applicable to the relevant service.


Cancellation prevents future renewals in accordance with the applicable terms but does not automatically result in a refund for services already provided or a billing period already started, subject to mandatory rights under applicable law.



15. CANCELLATION OF A SERVICE


Cancellation requests should be submitted as soon as possible to:

Where a service has not yet started, Checkout Flow will review the request according to the circumstances.


Where work has already begun, completed work, committed resources and any external costs incurred may remain payable.


Specific cancellation terms may also be included in a quotation or other agreement.



16. REFUNDS


Refund requests are handled in accordance with our Refund Policy and any specific conditions applicable to the relevant order.


Where a refund is approved, it will be processed using a method compatible with the original payment method where reasonably possible.


Nothing in these Terms of Sale limits any mandatory rights available to customers under applicable law.



17. CHANGES REQUESTED BY THE CUSTOMER


Any request that substantially changes the originally agreed scope of a service may result in:


- a change to the delivery schedule;

- a change to the price;

- an additional quotation.


Checkout Flow will inform the customer where a request reasonably falls outside the originally agreed scope.



18. DELIVERY


As Checkout Flow services are primarily digital, they are generally delivered electronically or remotely.


Delivery may include:


- activation;

- installation;

- configuration;

- access to an application;

- deployment;

- development work;

- delivery of a digital deliverable.

19. SUPPORT AND MAINTENANCE


The level of support or maintenance included depends on the service or plan purchased.


A one-time development service does not necessarily include unlimited ongoing maintenance.


Where additional maintenance or support services are required, they may be subject to a separate offer or charge.



20. INTELLECTUAL PROPERTY


Unless otherwise agreed in writing, Checkout Flow retains the applicable rights in its pre-existing and generic materials, including:


- software;

- components;

- libraries;

- architectures;

- methods;

- tools;

- interfaces;

- generic developments;

- documentation;

- visual identity and proprietary content.


Rights relating specifically to a customized development may be defined in the corresponding quotation or contract.


Third-party trademarks and technologies remain the property of their respective owners.



21. CONFIDENTIALITY


During the performance of a service, either party may receive confidential information belonging to the other party.


The parties agree not to improperly disclose information reasonably identified as confidential and to use such information only as necessary for the business relationship, subject to applicable legal requirements.



22. PERSONAL DATA


The processing of personal data by Checkout Flow is described in our Privacy Policy.


Where the customer uses Shopify, SumUp or another third-party service, processing independently carried out by those platforms is also subject to their respective privacy policies.



23. AVAILABILITY AND TECHNICAL CHANGES


Checkout Flow seeks to maintain the availability and proper operation of its services.


However, services may be affected by:


- maintenance;

- updates;

- technical incidents;

- API changes;

- third-party service outages;

- modifications imposed by third-party platforms;

- events beyond our reasonable control.


Checkout Flow may update its services where necessary to maintain their security, compatibility or operation.



24. LIABILITY


Checkout Flow is responsible for performing its own obligations to the extent required by applicable law.


Checkout Flow shall not be liable, to the extent permitted by applicable law, for a malfunction resulting directly from:


- inaccurate information provided by the customer;

- improper use of the service;

- unauthorized modifications;

- issues originating from a third-party service;

- suspension or restriction imposed by Shopify, SumUp or another provider;

- unavailability of a third-party API;

- force majeure or another event beyond its reasonable control.


Nothing in these Terms of Sale excludes or limits liability where such exclusion or limitation is prohibited by applicable law.



25. NO GUARANTEE OF COMMERCIAL RESULTS


Checkout Flow primarily provides technical solutions.


Unless expressly agreed otherwise in writing, Checkout Flow does not guarantee:


- a specific level of revenue;

- a specific volume of sales;

- a specific conversion rate;

- acceptance of every transaction;

- acceptance or continued availability of an account with a third-party provider;

- any particular commercial result.



26. FORCE MAJEURE


Neither party shall be liable for delay or failure to perform resulting from an event of force majeure recognized under applicable law, to the extent that such event reasonably prevents performance of the relevant obligation.



27. TERMINATION


In the event of a material breach of contractual obligations, the other party may request that the breach be remedied and, where the applicable conditions are met, terminate the relevant service or agreement.


Checkout Flow may suspend a service in particular in cases involving:


- illegal or fraudulent use;

- security risks;

- non-payment;

- a material breach of these Terms of Sale;

- an obligation imposed by law or by a provider essential to the operation of the service.



28. GOVERNING LAW AND DISPUTES


These Terms of Sale are governed by French law, subject to any mandatory provisions that may otherwise apply.


In the event of a dispute, the parties agree to seek an amicable resolution before initiating legal proceedings.


For business-to-business relationships, jurisdiction will be determined in accordance with applicable law and any validly agreed specific contractual terms.



29. CHANGES TO THESE TERMS OF SALE


Checkout Flow may amend these Terms of Sale to reflect:


- changes to its services;

- new features;

- technical developments;

- regulatory developments;

- changes affecting third-party services used by Checkout Flow.


The applicable version is the version published on the website on the date relevant to the order or service concerned, subject to any specific terms agreed with the customer.
