TERMS OF SERVICE — CHECKOUT FLOW

These Terms of Service govern access to and use of the Checkout Flow website, services, integrations, applications, tools and related services.

By accessing our website, ordering a service, subscribing to a service or using a Checkout Flow integration, you agree to these Terms of Service.
If you use Checkout Flow on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf.
1. ABOUT CHECKOUT FLOW
Checkout Flow provides digital and technical services primarily intended for businesses, merchants, e-commerce professionals and companies.
Our services may include:
- e-commerce and payment integrations;
- Shopify × SumUp integration;
- Shopify development and configuration;
- web development;
- mobile application development;
- API integrations;
- automation solutions;
- artificial intelligence-related solutions;
- payment flow customization;
- consulting and technical support;
- other digital services presented on our website or agreed with the customer.
The features, characteristics and specific conditions of a service may be specified on our website, within the relevant application, in a quotation, commercial proposal, order form or separate agreement.
2. SHOPIFY × SUMUP INTEGRATION
Checkout Flow provides, among other services, a solution designed to integrate certain SumUp functionalities with Shopify stores.
Depending on the version and available features, the solution may allow a merchant to:
- install the application or integration on their Shopify store;
- connect their own SumUp account;
- authorize the connection between the relevant services;
- activate available payment features;
- provide a payment flow associated with their store;
- exchange certain information necessary between Shopify, Checkout Flow and SumUp;
- receive information relating to transaction status;
- enable the corresponding processing of orders in Shopify.
Each merchant remains the owner of and responsible for their own Shopify and SumUp accounts.
3. THIRD-PARTY SERVICES
Checkout Flow operates or may operate in connection with services provided by third parties, including Shopify, SumUp, hosting providers, infrastructure providers and other technical services.
These third-party services are independent from Checkout Flow and are subject to their own:
- terms of service;
- privacy policies;
- eligibility requirements;
- pricing;
- verification procedures;
- technical limitations;
- risk and compliance policies.
Use of Checkout Flow does not guarantee that a user will be accepted by, remain eligible for, or continue to have access to any third-party service.
4. MERCHANT SUMUP ACCOUNT
Where a feature requires SumUp, the merchant must maintain a valid SumUp account that is eligible for the services they wish to use.
The merchant is responsible for:
- the accuracy of information provided to SumUp;
- compliance with SumUp's terms;
- completing identity or business verification where required;
- maintaining their account in good standing;
- protecting the security of their account;
- complying with the rules applicable to their business.
Checkout Flow is not responsible for independent decisions made by SumUp regarding the opening, verification, restriction, suspension or closure of an account.
5. MERCHANT SHOPIFY ACCOUNT
The merchant is responsible for their Shopify account, Shopify subscription, store, products, content and compliance with applicable rules.
Certain Checkout Flow features may require specific Shopify permissions.
The merchant authorizes Checkout Flow to access only the information and functionality required to provide the services they choose to use, within the scope of the permissions granted.
6. AUTHORIZATIONS AND CONNECTIONS
Certain integrations may require the merchant to authorize Checkout Flow to communicate with a third-party platform.
Such authorizations may be used to:
- identify the relevant store;
- access necessary product or variant information;
- verify prices and quantities;
- process information relating to orders;
- create or verify a payment flow;
- retrieve necessary transaction status information;
- operate the service.
Checkout Flow seeks to limit requested permissions to those reasonably necessary for the functionality provided.
7. PAYMENT PROCESSING
Checkout Flow provides a technical integration layer and is not the financial institution responsible for processing sensitive payment card information when a payment is made through SumUp.
Sensitive payment information, such as full payment card numbers and card security codes, is intended to be processed by the relevant payment provider's infrastructure.
Checkout Flow may process technical information necessary to operate the integration, including:
- transaction or checkout reference;
- amount;
- currency;
- status;
- order information;
- information necessary to associate a payment with the relevant merchant store.
8. MERCHANT RESPONSIBILITIES
The merchant is responsible for their use of Checkout Flow services.
The merchant must, in particular:
- sell only lawful products and services;
- comply with applicable laws and regulations;
- provide accurate information to customers;
- display their own commercial terms and policies where required;
- comply with the rules of payment providers and platforms used;
- manage their own tax, accounting and regulatory obligations;
- properly handle requests from their own customers;
- protect access to their accounts;
- promptly report suspected unauthorized access or security incidents.
9. PROHIBITED USE
Checkout Flow services must not be used:
- for unlawful activities;
- to intentionally circumvent the rules of a payment provider or platform;
- to conceal the true nature of a business;
- to process fraudulent transactions;
- to gain unauthorized access to another person's account or data;
- to compromise the security of the service;
- to introduce malware or malicious code;
- to intentionally disrupt infrastructure;
- in any manner that violates applicable law or the terms of connected platforms.
Checkout Flow may suspend or restrict access where use presents a reasonable security, fraud, abuse or compliance risk.
10. PRICING AND BILLING
Applicable prices are those presented at the time of purchase or subscription, or stated in the relevant commercial proposal.
Depending on the service, charges may include:
- a one-time payment;
- a subscription;
- installation fees;
- fees for customized services;
- fees agreed in a quotation;
- or a combination of these elements.
Fees charged directly by Shopify, SumUp or another third-party provider are separate from Checkout Flow fees unless expressly stated otherwise.
11. SUBSCRIPTIONS
Where a service is offered on a subscription basis, applicable pricing, renewal and cancellation terms will be disclosed at the time of subscription.
Unless otherwise specified for the relevant service, cancellation prevents future renewals but does not automatically eliminate amounts due for services already provided or a billing period already started.
Mandatory rights under applicable law remain unaffected.
12. REFUNDS
Cancellation and refund requests are handled in accordance with our Refund Policy and any specific terms agreed with the customer.
Due to the digital, technical or customized nature of certain services, work already performed or costs already incurred may remain payable.
Nothing in these Terms limits any mandatory rights available under applicable law.
13. SERVICE AVAILABILITY
We seek to provide reliable and available services.
However, we do not guarantee that the services will operate without interruption or error at all times.
Interruptions may result from:
- maintenance;
- updates;
- technical incidents;
- network issues;
- third-party provider outages;
- changes to APIs;
- events beyond our reasonable control.
We will use reasonable efforts to address incidents directly attributable to Checkout Flow.
14. CHANGES TO THIRD-PARTY SERVICES
Shopify, SumUp and other providers may modify their APIs, features, policies, pricing or terms.
Such changes may require Checkout Flow to adapt its services and may, in certain circumstances, result in temporary modification, limitation or interruption of particular features.
We cannot guarantee the indefinite availability of a feature that depends entirely on a third-party service where that provider modifies or discontinues the relevant functionality.
15. SECURITY
Checkout Flow implements reasonable technical and organizational measures intended to protect its systems and the information it processes.
Users must also take appropriate steps to protect:
- their credentials;
- Shopify and SumUp accounts;
- devices;
- administrator access;
- confidential information.
Any suspected security incident or unauthorized access should be reported promptly.
16. DATA PROTECTION
Processing of personal data in connection with Checkout Flow services is described in our Privacy Policy.
Use of third-party platforms may also be subject to the privacy policies of those platforms.
17. INTELLECTUAL PROPERTY
Unless otherwise stated, Checkout Flow and/or the relevant rights holders retain all applicable rights in:
- Checkout Flow software;
- interfaces;
- code;
- graphic elements;
- text;
- documentation;
- trademarks and visual identity;
- generic developments;
- technical components and features.
Access to a Checkout Flow service does not transfer ownership of the software or its components to the customer.
Third-party trademarks, logos and services, including Shopify and SumUp, remain the property of their respective owners.
18. LICENSE TO USE THE SERVICE
Subject to compliance with these Terms and payment of applicable fees, Checkout Flow grants the customer a limited, non-exclusive and non-transferable right to use the subscribed service for legitimate business purposes during the authorized period.
Unless expressly authorized in writing, users may not:
- resell or redistribute the software as their own product;
- copy or reproduce a substantial part of the service;
- attempt to circumvent security mechanisms;
- use the service to develop an unauthorized copy of the service.
19. CUSTOM SERVICES
Where Checkout Flow performs customized work for a customer, the scope, price, estimated timeframe and deliverables may be specified in a separate quotation or agreement.
In the event of a conflict between these Terms and specific terms expressly accepted for a particular service, the specific terms will prevail for that service.
20. LIMITATION OF LIABILITY
To the extent permitted by applicable law, Checkout Flow shall not be liable for losses resulting directly from a service or event outside its reasonable control, including:
- interruption of a third-party service;
- decisions made by Shopify, SumUp or another provider;
- suspension or restriction of a third-party account;
- errors resulting from inaccurate information provided by the merchant;
- improper use of the service;
- unavailability of a third-party API;
- fraudulent acts by third parties;
- force majeure events.
Checkout Flow remains responsible where applicable law does not permit such liability to be excluded or limited.
Nothing in these Terms excludes liability that cannot legally be excluded.
21. NO GUARANTEE OF COMMERCIAL RESULTS
Checkout Flow provides technical solutions and integration services.
Unless expressly agreed otherwise in writing, we do not guarantee:
- a specific level of revenue;
- a specific conversion rate;
- merchant approval by a third-party provider;
- the permanent absence of verification or compliance reviews;
- acceptance of every transaction;
- any particular commercial outcome.
Transaction authorization or rejection may depend on the payment provider, financial institutions involved and their security systems.
22. SUSPENSION OR TERMINATION
We may suspend or terminate access to all or part of a service where reasonably necessary, including in cases of:
- material breach of these Terms;
- fraudulent or unlawful use;
- security risk;
- non-payment;
- legal obligation;
- requirements imposed by a provider essential to the operation of the service.
Where reasonably possible and appropriate, we will seek to inform the customer of the situation.
23. UNINSTALLATION
A merchant may uninstall a Checkout Flow application using the mechanisms available through the relevant platform.
Uninstallation may disable the integration and certain connections.
Certain information may be retained where necessary in accordance with our Privacy Policy or applicable legal obligations.
24. CHANGES TO THESE TERMS
We may update these Terms to reflect:
- new features;
- technical changes;
- changes to our services;
- legal or regulatory developments;
- changes affecting third-party platforms used by Checkout Flow.
The applicable version will be published on our website with its latest revision date.
Where required by applicable law, affected users will be informed of material changes.
25. GOVERNING LAW
These Terms are governed by French law, subject to any mandatory provisions that may apply depending on the customer's circumstances or jurisdiction.
For business customers, the parties are encouraged to seek an amicable resolution before initiating legal proceedings.
Mandatory jurisdiction rules remain applicable.
